Sale & Purchase Agreement

Further to the announcements made on 26 May 2004, 15 June 2004, 28 June 2004 and 29 June 2004 in connection with the sale and purchase agreement dated 26 May 2004 (the "S&P Agreement"), the Board of Directors of ASL Marine Holdings Ltd (the "Company") is pleased to announce that the Singapore Exchange Securities Trading Limited (the "SGX-ST") has informed the Company that the 20,080,000 new ordinary shares of S$0.10 each in the capital of the Company, which have been allotted and issued pursuant to the S&P Agreement, have been listed and quoted on the Official List of the SGX-ST with effect from 9.00 a.m. on 30 June 2004.
